Welcome to Bridal Crate. These Terms of Service, along with our Privacy Policy, govern your use of the Bridal Crate mobile application and website operated by Bridal Crate Market LLC. By registering an account, you represent and warrant that you are at least 18 years of age and capable of forming a legally binding contract. We reserve the right to update or modify these Terms at any time, and your continued use of the platform constitutes your acceptance of any changes.

1. Marketplace Functionality

Bridal Crate provides a peer-to-peer platform for users to buy and sell wedding-related decor and connect with vendors in your vicinity or statewide. We do not own, inspect, or guarantee the quality of any physical items listed on the platform. All vendor contracts and transactions booked off-platform remain the sole responsibility of the respective parties.

Third-Party Links: Our platform may contain links to third-party websites or services (such as vendor portfolios) that are not owned or controlled by Bridal Crate. We assume no responsibility for the content, privacy policies, or practices of any third-party websites. You access them entirely at your own risk.

Modification of Service: Bridal Crate reserves the right to modify, suspend, redesign, or discontinue any part of the platform—including features, vendor directories, or overall app functionality—at any time without prior notice or liability to you. We do not guarantee continuous, uninterrupted access to the app or its services.

2. User Conduct, Moderation, and Right to Terminate

To maintain a safe, premium environment for our community, all users must interact respectfully and provide accurate information. By using Bridal Crate, you agree not to engage in the following prohibited behaviors:

• Prohibited Items: You may not list stolen goods, counterfeits, weapons, illegal items, or goods entirely unrelated to weddings and events. Bridal Crate reserves the sole right to determine what constitutes an appropriate listing.
• Harassment & Spam: Our in-app messaging is designed strictly for coordinating transactions and vendor services. You may not use the platform to harass, stalk, threaten, discriminate against, or spam other users.
• Fee Circumvention: You may not use Bridal Crate to establish contact with another user and subsequently complete the transaction off-platform for the specific purpose of avoiding Bridal Crate's service fees.
• Right to Terminate: Bridal Crate Market LLC reserves the absolute right to review, hide, or permanently delete any user listing. Furthermore, we reserve the right to suspend or permanently terminate any user account at our sole discretion, at any time, for any reason, without prior notice or liability to you.
• Account Security: You are strictly responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify Bridal Crate of any unauthorized use or suspected security breach.

3. Payments, Fees, and Refunds

All financial transactions conducted through the Bridal Crate platform are securely processed by our third-party payment partner, Stripe. By buying or selling on Bridal Crate, you agree to the following financial terms:

• Stripe Connected Accounts: Users acting as sellers must onboard via Stripe Connect and are legally bound by the Stripe Connected Account Agreement. Bridal Crate does not store, process, or transmit raw credit card numbers or bank routing details.
• Platform Fees: Bridal Crate may charge a service fee or commission on successful marketplace transactions. Any applicable fees will be clearly displayed prior to checkout. Platform fees paid to Bridal Crate are strictly non-refundable.
• All Sales Are Final: Because Bridal Crate is strictly a peer-to-peer venue, all sales are considered final. Any requests for returns, refunds, or exchanges must be negotiated directly between the buyer and the seller. While sellers are provided with an in-app tool to voluntarily issue refunds at their own discretion, Bridal Crate will not act as a mediator, forcefully reverse transactions, or issue refunds out of corporate funds.
• Chargebacks and Disputes: Sellers act as the "Merchants of Record" for their own listings. If a buyer initiates a chargeback or dispute through their bank or credit card provider, the seller is entirely responsible for providing evidence, covering any associated dispute fees, and absorbing the loss of funds.
• Taxes: You are solely responsible for evaluating, collecting, reporting, and remitting any applicable local, state, or federal taxes associated with your sales on the platform.
• Right to Freeze Funds: Bridal Crate and Stripe reserve the right to delay, freeze, hold, or cancel payouts if we detect suspected fraud, unauthorized transactions, suspicious activity, or a direct violation of these Terms.

4. SMS and Text Messaging (Opt-In & Communications)

By registering for a Bridal Crate account through our iOS application and explicitly providing your mobile phone number, you consent to receive automated transactional and account-related SMS text messages from Bridal Crate Market LLC. Bridal Crate Market LLC collects and processes mobile phone numbers strictly via our secure, closed-environment iOS application registration process. Mobile numbers are never acquired or harvested through this public-facing landing domain. Automated SMS programmatic dispatches are restricted exclusively to critical business functions: transactional profile validations, structural security triggers, and immediate account or listing moderation alerts (e.g., when an item listing is flagged for administrative review). Messaging frequencies dynamically fluctuate based on active marketplace interactions. Standard carrier text and data rates may apply.

• Purpose: Text messages are strictly used for vital account alerts, including login verification, security notices, and listing moderation alerts. We do not send third-party marketing spam.
• Frequency: Message frequency varies based on your account activity and interactions within the app.
• Rates: Standard message and data rates may apply depending on your mobile carrier plan.
• Opting Out: You may opt out of receiving text messages at any time by replying STOP to any message you receive from us. Upon sending STOP, you will receive one final confirmation text, and no further messages will be sent.
• Support: If you require assistance with our SMS program, reply HELP to any of our messages, or contact our support team directly at bcteam@bridalcrateapp.com.

5. Limitation of Liability and Assumption of Risk

Bridal Crate Market LLC provides the platform and its services on an "as-is" and "as-available" basis. By using Bridal Crate, you acknowledge and agree that your use of the platform is strictly at your own risk. To the maximum extent permitted by applicable law, Bridal Crate Market LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

• In-Person Meetups: Bridal Crate solely facilitates the digital connection between buyers and sellers. We do not conduct criminal background checks or formally verify the true identity of our users. We are not responsible for your safety, property, or well-being during in-person local exchanges. You assume all risks associated with meeting other users and are strongly encouraged to use safe, public exchange locations.
• Vendor Services & Contracts: We do not employ, formally endorse, or guarantee the performance of any vendor listed in our directory. Any bookings, payments, contracts, or disputes arising from vendor services are strictly between you and the vendor. Bridal Crate is not liable for vendor cancellations, breaches of contract, or the quality of the services rendered.
• Item Condition & Representation: We do not inspect, verify, or guarantee the quality, safety, authenticity, or legality of any physical items sold on the community feed. We are not liable for misrepresented, defective, or dangerous goods.
• Maximum Liability: In no event shall Bridal Crate Market LLC's aggregate liability to you for any claims arising out of these Terms exceed the total amount of fees you paid directly to Bridal Crate Market LLC in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100.00), whichever is greater.

6. User-Generated Content and Intellectual Property

As a user or vendor on Bridal Crate, you may upload photos, item descriptions, portfolio images, and other materials ("User Content"). By posting User Content to our platform, you agree to the following:

• Bridal Crate Intellectual Property: All rights, titles, and interests in and to the Bridal Crate platform—including our mobile application software code, user interface designs, logos, branding, trademarks, custom graphics, and website architecture—are and will remain the exclusive proprietary property of Bridal Crate Market LLC. You are strictly prohibited from copying, reverse-engineering, scraping, or duplicating our brand assets or platform design without our express written consent.
• Your Ownership: You retain all ownership rights to the original content you upload. Bridal Crate does not claim legal ownership of your personal photos or professional portfolio assets.
• License to Bridal Crate: By uploading content, you grant Bridal Crate Market LLC a worldwide, non-exclusive, royalty-free, and transferable license to use, store, display, reproduce, modify (e.g., compress, crop, or resize for mobile performance), and distribute your content for the purposes of operating, maintaining, and promoting the platform.
• Content Responsibility: You represent and warrant that you either own the rights to the content you post or have obtained explicit permission from the original copyright owner (such as your hired wedding photographer) to upload it. You are solely liable for any copyright infringement claims arising from your uploaded content.
• DMCA Copyright Infringement & Takedowns: We respect the intellectual property of creators and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been uploaded without authorization, please send a formal DMCA takedown notice to bcteam@bridalcrateapp.com. Bridal Crate reserves the right to promptly remove infringing content and permanently terminate the accounts of repeat infringers.
• Feedback and Suggestions: If you choose to submit comments, ideas, feature requests, or feedback about the platform, you agree that Bridal Crate Market LLC is free to use, implement, or discard them without any restriction or compensation to you. By submitting feedback, you grant us a perpetual, irrevocable license to use those ideas to improve our app.

7. Indemnification

You agree to defend, indemnify, and hold harmless Bridal Crate Market LLC, its affiliates, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Bridal Crate platform; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content or physical items listed caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the platform.

8. App Store and Apple iOS Disclaimer

If you download the Bridal Crate application from the Apple App Store, you acknowledge and agree that these Terms are solely between you and Bridal Crate Market LLC, not Apple Inc. Bridal Crate, not Apple, is solely responsible for the application and its content. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the application. To the maximum extent permitted by applicable law, Apple will have no warranty obligation whatsoever with respect to the application, and Apple is not responsible for addressing any claims by you or any third party relating to the application, including product liability claims or claims that the app violates consumer protection or intellectual property laws.

9. Dispute Resolution: Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

• Agreement to Arbitrate: You and Bridal Crate Market LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform shall be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its rules. The arbitration shall take place in the State of Arizona, rather than in a court of general jurisdiction.
• Class Action Waiver: You agree that any claims brought against Bridal Crate Market LLC must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
• Exceptions: Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
• Governing Law: These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

10. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

11. Force Majeure

Bridal Crate Market LLC shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire and exclusive understanding and agreement between you and Bridal Crate Market LLC regarding the platform. These Terms supersede and replace any and all prior oral or written understandings or agreements between you and Bridal Crate Market LLC regarding the use of the platform and services.
